Terms of Service
These Terms of Service (“Terms”) are a binding agreement between you (“you”, “User”) and a business operating under the name “Kontrax” (“Kontrax”, “we”, “us”, “our”). They govern your access to and use of the Kontrax website at kontrax.co, the Kontrax web application, and all related services (together, the “Service”). By creating an account, clicking “I agree”, or otherwise accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service.
1. Definitions
- “Account” — the user account you register to access the Service.
- “Content” — any data, text, contract terms, party details, signatures, uploaded files, and documents that you create, upload, or generate through the Service.
- “Document” — a contract, agreement, amendment, extension, termination notice, or other instrument created, sent, signed, or managed through the Service.
- “Counterparty” — any person you invite to review or sign a Document.
- “Pass” — a paid plan that unlocks features for a defined period (e.g. Early Access, Pro).
- “Templates” — the standard-form document templates we make available.
2. Eligibility & your account
2.1 To use the Service you must be at least 20 years old and have full legal capacity to enter into binding contracts under Thai law, or otherwise be lawfully authorised to act on behalf of the party you represent.
2.2 You agree to provide accurate, current, and complete information when registering and to keep it up to date. Certain identity fields (e.g. name, national ID number, phone, email) may be write-once and changeable only through our verification process.
2.3 You are responsible for safeguarding your login credentials and for all activity under your Account. Notify us immediately of any unauthorised use. We may require additional identity verification or a one-time passcode / multi-factor step before high-risk actions such as signing.
2.4 One person, one Account, unless we expressly permit organisation (team) accounts under §12.
3. The Service
3.1 Kontrax is a software platform that helps you create, send, electronically sign, store, and manage the lifecycle of documents — including drafting from Templates, sending for signature, signing, amending, extending, terminating, and generating PDF copies with an audit trail.
3.2 The Service is provided as a tool. We do not act for you, do not draft documents on your behalf, and are not a party to any Document you create with the Service (see §4 and §6).
3.3 We may add, change, or remove features, Templates, and plans at any time. New or changed Templates apply to Documents created after the change.
4. No legal advice — Kontrax is a tool, not a lawyer
4.1 Kontrax is not a law firm and does not provide legal advice. The Templates, hints, help articles, and any content in the Service are general information only and are not a substitute for advice from a qualified lawyer.
4.2 No solicitor–client / attorney–client relationship is created by your use of the Service.
4.3 You are solely responsible for deciding whether a Template or Document is appropriate, lawful, accurate, and sufficient for your situation, and for the legal effect and enforceability of any Document you create, send, or sign. We do not warrant that any Template or Document is suitable for your purpose or compliant with any particular law. For anything important, consult a lawyer.
5. Electronic signatures & electronic transactions
5.1 You consent to transact electronically and to use electronic signatures and electronic records through the Service. You agree that an electronic signature applied through the Service has the same legal effect as a handwritten signature, to the extent permitted by the Electronic Transactions Act B.E. 2544 (2001) and its amendments.
5.2 To support evidentiary integrity, when a Document is finalised the Service may record a cryptographic hash of the signed file and an audit-log entry (who signed, when, and from where). You acknowledge these records may be used as evidence of the Document’s content and signing.
5.3 You are responsible for verifying the identity of your Counterparties and for the authenticity, authority, and intent of every signatory. Identity-verification and step-up features we provide (e.g. ID checks, OTP/MFA) are aids only and do not guarantee that a signatory is who they claim to be or has authority to sign.
5.4 You are responsible for keeping your own copies of signed Documents. While we store Documents as part of the Service, we are not a system of record of last resort and do not guarantee indefinite retention (see §16, §20).
6. Your Content and your Documents
6.1 As between you and us, you (and your Counterparties, as applicable) own your Content and your Documents. We do not claim ownership of them.
6.2 You grant us a limited, non-exclusive licence to host, process, transmit, display, and store your Content only as needed to operate and provide the Service to you (including generating PDFs, sending notifications, and rendering previews).
6.3 You are solely responsible for your Content, including its legality, accuracy, and the rights to use it. You represent that your Content and Documents do not infringe anyone’s rights and are not used for any unlawful purpose.
6.4 We do not monitor or review the substance of your Documents and take no responsibility for their contents or consequences.
7. Identity verification & signing security
7.1 We may offer or require identity verification (for example, uploading a national ID document) and a signing step-up (for example, an OTP sent to your phone or multi-factor authentication) before you can initiate or sign certain Documents.
7.2 You consent to our processing of verification data for these purposes, as described in the Privacy Policy. Where we collect a national ID number or ID image, we process it only to verify identity and protect the integrity of signing, and we store it under access-restricted conditions.
7.3 These measures reduce, but do not eliminate, the risk of impersonation or fraud. You remain responsible under §5.3.
8. Acceptable use
You agree not to, and not to permit others to:
- (a) use the Service for any unlawful, fraudulent, or deceptive purpose, or to create or sign a Document you are not authorised to make;
- (b) impersonate any person or misrepresent your identity, age, or authority;
- (c) upload malware, attempt to breach security, probe, scrape, reverse-engineer, or interfere with the Service or other users;
- (d) use the Service to send spam or unsolicited communications, or to harass any Counterparty;
- (e) infringe intellectual-property, privacy, or other rights of any person;
- (f) resell, sublicense, or commercially exploit the Service except as expressly permitted; or
- (g) circumvent usage limits, paywalls, or quota controls.
9. Plans, fees & payment
9.1 The Service offers a free tier with limited usage and paid Passes. Current plan names, features, prices, and limits are shown on the pricing page and may change for future purchases.
9.2 Prices are in Thai Baht (THB) and, unless stated otherwise, are inclusive or exclusive of applicable taxes as indicated at checkout. Payments are processed by our third-party payment provider; we do not store full card details. Your use of payment is also subject to the provider’s terms.
9.3 A paid Pass grants access to its features for the stated period (for example, a fixed term from activation). Unless stated otherwise, Passes do not auto-renew; if auto-renewal is offered, the terms will be disclosed before purchase.
9.4 We may change prices and plan contents prospectively. Changes do not affect a Pass you have already purchased for its current term.
10. Refunds & cancellation
10.1 Except where a refund is required by applicable law, fees are generally non-refundable once a Pass is activated or a paid feature is used.
10.2 We may, at our discretion, consider a refund request made within 7 days of purchase where you have not yet used the paid features (for example, have not sent a Document for signature). Approved refunds are returned via the original payment method.
10.3 You may stop using the Service and close your Account at any time; closing your Account does not by itself entitle you to a refund of fees already paid.
11. Free tier & usage limits
11.1 The free tier permits limited use (for example, a limited number of Documents) and free-tier Documents may carry a visible “Generated by Kontrax” watermark.
11.2 We may set, change, or enforce reasonable usage limits, rate limits, and quotas to keep the Service available and prevent abuse.
12. Organisation / team accounts
12.1 We may provision organisation (“team”) accounts. An organisation owner/admin may invite members, manage roles, and access Documents created in organisation mode according to the permissions we provide.
12.2 If you use the Service on behalf of an organisation, you represent that you are authorised to bind that organisation to these Terms, and “you” includes the organisation. The organisation is responsible for its members’ use.
12.3 Organisation features may require an active organisation status and may be suspended if that status lapses.
13. Intellectual property
13.1 The Service, including its software, design, Templates (as templates), brand, and “Kontrax” name and logo, is owned by or licensed to us and is protected by law. We grant you a limited, revocable, non-exclusive, non-transferable licence to use the Service for its intended purpose under these Terms.
13.2 This licence does not include the right to copy, modify, distribute, or create derivative works of the Service itself, except as the law allows. Your ownership of your own Content and Documents is addressed in §6.
14. Privacy & data protection
14.1 We process personal data in accordance with our Privacy Policy and the Personal Data Protection Act B.E. 2562 (2019) (“PDPA”). By using the Service you acknowledge the Privacy Policy.
14.2 As between you and Kontrax, you act as the data controller for the personal data of your Counterparties that you put into your Documents, and Kontrax processes that data on your behalf to provide the Service. You are responsible for having a lawful basis to provide that data.
15. Third-party services
The Service relies on third-party providers (for example, cloud hosting and authentication, the payment provider, and email/SMS delivery). We are not responsible for third-party services, and their availability or terms may affect the Service. Links to third-party sites (for example, a contact form) are provided for convenience and we are not responsible for their content.
16. Service availability & changes
16.1 We aim to keep the Service available but do not guarantee uninterrupted or error-free operation. We may perform maintenance, modify, or discontinue features with reasonable notice where practicable.
16.2 We may impose backups but do not warrant against data loss. Keep your own copies of important Documents (see §5.4).
17. Disclaimers
To the maximum extent permitted by law, the Service and all Templates are provided “as is” and “as available”, without warranties of any kind, whether express or implied, including fitness for a particular purpose, merchantability, non-infringement, legal validity or enforceability of any Document, or accuracy or completeness of any Template or information. Nothing in this section limits liability that cannot be excluded under Thai law.
18. Limitation of liability
18.1 To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, goodwill, or for the content, validity, enforceability, or consequences of any Document.
18.2 To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the Service and these Terms shall not exceed the total fees you paid to us for the Service in the 3 months before the event giving rise to the claim.
18.3 Nothing limits liability for death or personal injury caused by our negligence, for fraud, or for any liability that cannot be limited or excluded under Thai law.
19. Indemnification
To the extent permitted by law, you agree to indemnify and hold us harmless from claims, losses, and reasonable costs arising out of (a) your Content or Documents, (b) your breach of these Terms or of any law, or (c) a dispute between you and a Counterparty.
20. Suspension & termination
20.1 You may stop using the Service and close your Account at any time.
20.2 We may suspend or terminate your access, with notice where practicable (immediately where necessary), if you breach these Terms, use the Service unlawfully, or create risk to the Service or others.
20.3 On termination, your licence ends. We may retain or delete your Content in accordance with the Privacy Policy and applicable law; you are responsible for exporting copies you need beforehand. Sections that by their nature should survive (for example, §4, §6, §13, §17–§19, §22) survive termination.
21. Changes to these Terms
We may update these Terms. We will post the updated Terms with a new “Last updated” date and, for material changes, give reasonable notice (for example, by email or in-app). Continued use after the effective date means you accept the updated Terms. If you do not agree, stop using the Service.
22. Governing law & disputes
These Terms are governed by the laws of the Kingdom of Thailand. Subject to any mandatory consumer-protection rights you have, the courts of Thailand have jurisdiction over disputes arising out of or relating to these Terms or the Service.
23. General
23.1 Entire agreement — These Terms and the Privacy Policy are the entire agreement between you and us about the Service.
23.2 Severability — If any provision is unenforceable, the rest remains in effect.
23.3 No waiver — Failure to enforce a provision is not a waiver.
23.4 Assignment — You may not assign these Terms without our consent; we may assign them in connection with a transfer of the business.
23.5 Notices — We may give notice by email to your registered address or in-app; you may contact us as in §24.
23.6 Force majeure — Neither party is liable for failure caused by events beyond reasonable control.
23.7 Language — These Terms are provided in Thai and English. The Thai version is the controlling version; the English version is a convenience translation, and in case of conflict the Thai version prevails.
